Overview of the key provisions. The complete, binding text is published at silicon.garden/termsandconditions.
General provisions
These Terms govern all transactions and override client terms unless agreed in writing. Offers are non-binding; only written orders are binding. Changes take effect unless the client objects within 14 days.
Trainings, events and media usage
Event registration is binding. Cancellations at least 7 days ahead receive a full refund; later cancellations are not refunded, but tickets can be transferred. By attending, participants agree to be recorded or photographed for Silicon.Garden’s use.
Memberships and right of withdrawal (EU consumers)
Memberships renew each billing period until cancelled. EU consumers have a 14-day right of withdrawal, with pro-rata payment for services already provided.
Donations
Donations are voluntary and non-refundable, except where the law requires a refund or a payment was made in error. They are not tax-deductible and no receipts are issued.
Sponsorship
Sponsorships are commercial agreements. Fees are non-refundable unless agreed otherwise, exclude Austrian VAT and do not guarantee any specific outcome.
Protection of concepts and ideas
Where Silicon.Garden develops a concept at a client’s invitation, the client may not use the creative ideas outside a later main contract. Claims of prior ideas must be raised within 14 days.
Scope of services, client duties and third parties
Scope is set by the accepted order or written agreement. Clients review and approve deliverables promptly, provide accurate information on time and ensure their materials do not infringe third-party rights. Silicon.Garden may subcontract work and selects third parties diligently.
Target dates and termination
Timelines are non-binding unless confirmed in writing. Either party may terminate for good cause, generally after a 14-day grace period; either may withdraw if force-majeure delays exceed two months.
Fees and payment
Payment is due within 14 days of invoice. Late payments incur default interest and services may be withheld until paid. Clients may not offset claims without written acknowledgment or a court ruling.
Intellectual property and licence
Silicon.Garden keeps the copyright. After full payment, clients receive a non-exclusive, non-transferable licence limited to the agreed purpose, scope and duration (Austria only by default). Silicon.Garden may credit itself and reference clients in its marketing.
Warranty and liability
Defects must be reported within 8 days; the warranty period is six months, with at least 14 days to remedy. Liability is limited as set out in the full Terms and capped at the net order value.
Platforms
Third-party platforms such as LinkedIn may remove content at their discretion, so continuous access to campaign content cannot be guaranteed.
Venue, form and governing law
Austrian law applies. Disputes go to the competent court in Vienna. Changes must be in writing; invalid provisions are replaced by the closest valid equivalent.
